Structured Capital

Structured capital that ranks ahead of sponsor capital in the capital stack, with a defined structured return. Used to bridge the gap between senior debt and sponsor capital, reducing dilution of a sponsor's own capital while giving the capital provider downside protection ahead of the sponsor capital position.

Sponsor Capital

Ordinary risk capital taken alongside the sponsor, sharing fully in the upside and downside of the transaction. Typically structured with a promote or profit-share once agreed commercial terms are met, and the position most institutional, private equity and family office investors take when backing a development or investment directly.

JV Capital

Sponsor capital structured specifically as a partnership between a sponsor and a capital partner, with governance, control and decision-making rights negotiated alongside the economic terms — distinct from a passive capital commitment, and typically used where the capital partner wants an active role in the venture.
